1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of BillClarity, a software-as-a-service accounting and invoicing platform ("Service") operated by Chase Clarity, a sole proprietorship ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Description of Service

BillClarity provides cloud-based tools for invoicing, billing, and accounting management. Features may include invoice creation and management, client management, payment tracking, reporting, and related functionality. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. Account Registration

To use the Service, you must register for an account. You agree to:

4. Subscription and Payment

Access to certain features of the Service requires a paid subscription. By subscribing, you authorize us (or our payment processor) to charge your payment method on a recurring basis per your selected plan.

6. Intellectual Property

The Service, including its design, software, text, graphics, and other content (excluding your data), is the exclusive property of Chase Clarity and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your internal business purposes.

You retain full ownership of all data you input into the Service ("Customer Data"). You grant us a limited license to process and store your Customer Data solely to provide and improve the Service.

7. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring that any personal data you input about third parties (e.g., your clients) is collected and shared lawfully.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice where possible. We are not liable for any downtime, data loss, or damage resulting from interruptions beyond our reasonable control.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free or that defects will be corrected.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Chase Clarity shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the Service, even if advised of the possibility of such damages. Our total liability to you for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the three (3) months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Chase Clarity from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your Customer Data, or your violation of these Terms.

12. Termination

Either party may terminate these Terms at any time. You may terminate by cancelling your account. We may suspend or terminate your access for any breach of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period to comply with legal obligations before deletion.

13. Governing Law

These Terms are governed by and construed in accordance with applicable laws. Any disputes shall be resolved through good-faith negotiation in the first instance. If unresolved, disputes shall be subject to the exclusive jurisdiction of competent courts.

14. Changes to Terms

We may revise these Terms at any time. We will provide notice of material changes via email or a prominent notice within the Service. Your continued use of the Service after the effective date of any revision constitutes your acceptance of the updated Terms.
